The Terms and Conditions (“Terms”) contained herein shall apply to all quotations and offers made by and purchase orders accepted by E3 Displays, hereinafter E3. These Terms apply to all sales made by E3 except to the extent the Terms conflict with a Sales Agreement signed by E3 and Buyer. These Terms apply in lieu of any course of dealing between the parties or usage of trade in the industry. These Terms may in some instances conflict with some of the terms and conditions affixed to the purchase order or other procurement document issued by the Buyer. In such case, the Terms contained herein shall govern, and acceptance of Buyer’s order is conditioned upon Buyer’s acceptance of the terms and conditions herein, irrespective of whether the Buyer accepts these conditions by a written acknowledgement, by implication, or acceptance and payment of products ordered hereunder. E3’s failure to object to provisions contained in any communication from Buyer shall not be deemed a waiver of the provisions herein. Any changes in the Terms contained herein must specifically be agreed to in writing signed by an officer of E3 before becoming binding on either party.
Prices are subject to change with thirty days notice to Buyer. Any order that can be cancelled and rescheduled pursuant to paragraph 6 is subject to a price change immediately. All prices are exclusive of any present or future sales, revenue or excise tax, value added tax, turnover tax, import duty (including brokerage fees) or other tax applicable to the manufacture or sale of any product. Such taxes, when applicable, shall be paid by Buyer unless Buyer provides a proper tax exemption certificate. Unless otherwise agreed to in writing by the parties, prices quoted by E3 are those current at the date of quotation and shall be subject to variation by E3.
Unless otherwise agreed in writing, sales are FOB origin. E3 may deliver products in one or more consignment and invoice each consignment separately. E3 reserves the right to ship product that is not subject to cancellation in advance of the agreed shipping date. Unless otherwise agreed in writing, delivery time is not of the essence. Except as specified in 6(b), E3 does not accept liability for any loss arising from delay in delivery of products.
Unless otherwise agreed in writing on a E3 quotation or statement of work, Payment terms shall be net thirty (30) days from the date of invoice. Buyer agrees to pay interest on any unpaid balance at a rate of five percentage points above the annual Federal Funds rate as specified in the Wall Street Journal on the day the balance becomes due. Unless otherwise agreed in writing, all payments are to be in United States dollars. For contracts in Europe, E3 may require payment to be secured by an irrevocable letter of credit or a bank guarantee acceptable to E3. Where payment is made by letter of credit, all costs of collection shall be for Buyer’s account. In the event that E3 is required to bring legal action to collect delinquent accounts, Buyer agrees to pay reasonable attorney’s fees and costs of suit.
Buyer shall notify E3 of any visible defects, quantity shortages or incorrect product shipments within seven (7) days of receipt of the shipment. Failure to notify E3 in writing of any visible defects in the products or of quantity shortages or incorrect shipments within such period shall be deemed an unqualified waiver of any rights to return products on the basis of visible defects, shortages or incorrect shipments, subject to Buyer’s rights under Section 7. Product returned to Seller shall be subject to a fee up to 10% of the sale price should Seller’s disposition of Product be No Fault Found (NFF). A waiver of an NFF fee by Seller shall not imply a waiver of Seller rights to collect an NFF fee on other returned Product dispositioned as NFF. Seller shall retain a security interest in the products until Buyer’s final payment to E3 for the products. Risk of loss and title shall pass to Buyer as soon as the products have been placed with a transport agent.
(a) Buyer’s Cancellation: Unless otherwise agreed to in writing on a E3 quotation or statement of work, Buyer may not cancel any order..: Buyer may reschedule an order more than thirty (30) days prior to the Confirmed Shipping Date and not for more than 90 days from the original Confirmed Shipping Date with E3 written approval, except that Buyer shall accept delivery of all such products which are completed at the time of cancellation.. Those products which are in the work-in-process inventory at the time of cancellation or rescheduling, shall be paid for by Buyer at a price equal to the completed percentage of the product multiplied by the price of the finished product. Buyer also shall pay promptly to E3 the costs of settling and paying claims arising out of the termination of work under E3’s subcontracts or vendors and any accounting, legal, and clerical costs arising out of the cancellation. Holding of inventory due to attempted cancellation, rejection or non-acceptance of product will be subject to interest and holding costs associated with the non-shipment using the terms in paragraph 4.
(b) E3’s Cancellation: E3 shall have the right to cancel any unfilled order without notice to Buyer in the event that Buyer becomes insolvent, adjudicated bankrupt, petitions for or consents to any relief under any bankruptcy reorganization statute, or becomes unable to meet its financial obligations in the normal course of business. Any order that can be cancelled or rescheduled by Buyer pursuant to paragraph 6(a) may be cancelled or rescheduled by E3 if notice is given to Buyer.
Except as specified below, products sold hereunder shall be free from defects in materials and workmanship and shall conform to manufacturer’s published specifications or other specifications accepted in writing by E3 for a period of one (1) year from the date of shipment of the products unless otherwise agreed to in writing on a E3 quotation or statement of work. The foregoing warranty applies to products used for commercial applications only, unless otherwise specified in the Buyer’s purchase order and does not apply to any products which have been subject to misuse, neglect, accident or modification or which have been soldered or altered such that they are not capable of being tested under normal test conditions. E3 shall make the final determination as to whether its products are defective. E3’s sole obligation for products failing to comply with this warranty shall be, at its option, to either repair, replace or issue credit for the nonconforming product where, by the expiration of the warranty period, (i) E3 has received written notice of any nonconformity; (ii) after E3’s written authorization, Buyer has returned the nonconforming product to E3; and (iii) E3 has determined that the product is nonconforming and that such nonconformity is not the result of improper installation, repair or other misuse. THE FOREGOING WARRANTY AND REMEDIES ARE EXCLUSIVE AND MADE EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES, EXPRESSED, IMPLIED OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. E3 DOES NOT ASSUME OR AUTHORIZE ANY OTHER PERSON TO ASSUME FOR IT ANY OTHER LIABILITY IN CONNECTION WITH ITS PRODUCTS. Buyer shall pass this warranty to any third-party purchaser of E3 products.
(a) Neither E3 nor Buyer shall be liable for incidental or consequential damages, including but not limited to, the cost of labor, requalifications, rework charges, delay, lost profits, or loss of goodwill arising out of the sale, installation or use of any E3 product. If E3 has any liability for breach of contract, breach of any implied condition, warranty or representation, the aggregate liability of E3 to Buyer shall be limited in respect of any occurrence or series of occurrences to the contractual value of the products or services that are the subject of the contract.
(b) E3 assumes no liability for the sale of obsolete parts which may or may not be refurbished, unless otherwise noted in the buyer’s purchasing document and acknowledged by E3, in writing.
E3 Retains all Intellectual Property of products supplied to buyer: The sale of any products hereunder does not convey any license by implication, estoppel or otherwise covering combinations of the products with other equipment data or programs. The company retains the copyright in all documents, catalogs and plans supplied to Buyer pursuant to or ancillary to the contract. Unless otherwise agreed in writing, Buyer shall obtain no interest in any tooling, art work, design, schematic, process, method or trade secret used in the production of any E3 product. Buyer agrees to not reverse engineer or attempt to copy E3 products themselves or through a third party, or supply E3 product to any company where the purpose is to obtain E3 intellectual property through the use or examination of E3 product.
E3’s products are not authorized for use as critical components in life support devices or systems without the express written approval of an officer of E3. As used herein: (a) Life support devices or systems are devices which (i) are intended for surgical implant into the body, or (ii) directly support or sustain life and whose failure to perform when properly used can be reasonably expected to result in significant injury to the user; (b) a critical component is any component in a life support device or system whose failure to perform can be reasonably expected to cause the failure of the life support device or system or to affect its safety or effectiveness.
E3 shall not be liable for any damage or penalty for delay in delivery or for failure to give notice of delay when such delay is due to the elements, acts of God, acts of the Buyer, act of civil or military authority, war, riots, concerted labor action, shortages of materials, or any other causes beyond the reasonable control of E3. The anticipated delivery date shall be deemed extended for a period of time equal to the time lost due to any delay excusable under this provision.
E3 shall be entitled at all times to assign its rights under an order (in whole or in part) or to subcontract any part of the work or services to be provided under the order as it deems necessary or desirable.
Any notice hereunder shall be deemed to have been given if sent by prepaid first-class mail to the party concerned at its last known address. Notice to E3 shall be to the regional sales office in the territory or to E3 Displays; 21050 North 9th Place, Suite 309; Phoenix, AZ 85024, USA
Failure by E3 to exercise or enforce any rights hereunder shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter.

E3 represents some of the best-in-class manufacturers such as Alto-Shaam, Southbend, Wells, APW Wyott and many more. We were lucky enough to have the opportunity to speak with Equipment Specialist, Joe McDonald, and Chef Josh to discuss their favorite attributes of the business.
Joe describes E3 as a manufacturers’ representative firm that specializes in foodservice equipment. They cover the six New England states and promote and support the brands that the business represents. E3 and their employees work with end-users, and design consultants and dealers assist them with foodservice equipment solutions based on their applications.
The TriMark and E3 partnership works exceptionally well because both parties have the same goals, like (Joe outlines) “As a manufacturers’ rep group, we have always done business with TriMark – going back to the days of just United East. The benefit we look for is a true partnership where both the dealer and representative look to support each other to provide the end-user with the best product for their needs. We work together to help identify what that piece of equipment might be, by understanding the client’s business – where they are today and where they want to be tomorrow.”
The partnership has primarily been a success because it has always been a two-way street. Joe explains that E3 is often asked to get involved in equipment specifications and demonstrations at both the E3 test kitchen and TriMark Innovation Center in Boston. When TriMark leads with one of E3 manufacturers, we look to sell it based on its features and benefits, but most importantly because of how it fits the needs of our customer.
Along with partners Joe Burbine and Ken Lawler, McDonald is one of the principals of E3. His title is Equipment Specialist which entails understanding the needs of the end-user to find the best product that will meet those needs. Whether it is a dealer representative calling Joe for suggestions or working with them in the field, the common goal is to identify the product that can best support the final application. Understanding the goal of the operator is critical to whether E3 can be successful in the recommendations they make.
Another major part of Joe’s role includes being regularly involved with Chef Josh and the rest of the E3 team to run programs at their test kitchen. Their aim is to showcase and educate customers on either a specific product line or a group of lines and engage designers and consultants to emphasize product capabilities as well as the services that the E3 team can offer both pre-sale and post-sale. McDonald emphasizes the importance of product education so that people fully understand what the equipment can do and how it is essential to their success. The team spends a lot of time post-sale making sure the product is living up the consumer’s expectations. The primary goal is to see their end-users thrive and succeed.
McDonald is proud and invested in the E3 business. He attributes the success of the business to “the team and always trying to keep it fun. We work together and always try to do what is right and best for anyone we work with. We play to each other’s strengths and are never afraid to hand something off to another team member if we think they are the best person to handle the job”, Joe says. “The team members at E3 are more than colleagues; we are friends who genuinely care about each other and our families. Our team takes a lot of pride in what we do and it’s a great feeling to know you always have someone watching out for you and they are there when you need them. The fun we have together makes the harder days a lot easier to get through. The people I work with make me better at what I do, and I cannot say enough about how much respect I have for all of them. We are a TEAM.”
Performing the role of Corporate Chef, Josh handles all the culinary aspects of E3 including trainings, demos and culinary classes. He works with clients to test drive equipment and troubleshoot cooking applications in order to achieve maximum menu efficiency. Josh focuses on collaborating and interacting with consumers to streamline complex procedures into user-friendly settings.
Hill finds E3 a rewarding place to work on a variety of levels. To start, the business has a commitment to excellence – for both themselves and their customers. Josh also takes pride in collaborating with chefs. He enjoys teaching them new and innovative approaches to cooking; this allows him to pass along the practices and skills he has learned throughout his career. Lastly, he highlights the changing dynamic of the industry. There are constantly new prospects engaging with E3, which allows Josh to continually meet new people, travel to new places and build lasting relationships.

Given that RNF43 and ZNRF3 localize to the plasma membrane and have exposed ECDs, their domain structure was evaluated revealing the presence of an N-terminal signal peptide that has been associated with membrane integration as well as a transmembrane domain. As such, a list of known E3 ubiquitin ligases was evaluated using UniProtKB, the SignalP software and the DeepLoc software to identify putative cell-surface E3 ubiquitin ligases based on having a signal peptide, transmembrane domain and whether they have been shown or are predicted to localize to the plasma membrane. Among the identified proteins, we evaluated the following 11 ubiquitin ligases: RNF13, RNF43, RNF128, RNF130, RNF133, RNF148, RNF149, RNF150, RNF167, ZNRF3 and ZNRF4. Doxycycline-inducible pBind plasmids with IRES-eGFP encoding each of the 11 ligases with an N-terminal gD tag and C-terminal Flag tag were constructed and used to generate stable HT29, SW48 and ASPC1 cell lines. Cell-surface presentation of each ligase was evaluated using flow cytometry. In brief, parental and doxycycline-inducible gD–ligase-Flag HT29 cells were plated at 250,000 cells per well in 96-well round bottom plates. After 24 h cells were treated with 1 μg ml−1 doxycycline for an additional 24 h to induce ligase expression. Cells were then prepared for FACS analysis by detaching in 5 mM EDTA, blocking in FACS buffer and stained using the Ultra-LEAF purified human IgG1 isotype control recombinant antibody or an anti-gD primary antibody at 10 μg ml−1 for 1 h on ice followed by a Goat anti-human 647 secondary antibody incubation for 1 h on ice in the dark. Samples were then stained with LIVE/DEAD Fixable Violet Dead Cell Stain Kit, for 405 nm excitation at 1:1,000 for 30 min on ice and fixed using the Image-iT Fixative Solution (4% formaldehyde, methanol-free) (Thermo Fisher, R37814) for 15 min at room temperature. Plates were stored at 4 °C until further flow cytometry analysis. To evaluate doxycycline induction the IRES-eGFP signal was examined. The 647 MFI and percentage of gD + 647 positive cells were quantified from three independent experiments. As assay controls, parental cells were also evaluated. Additionally, unstained samples were processed in parallel and used for the gating strategy.
