WASHINGTON – A former executive from Chi Mei Optoelectronics Corporation has agreed to plead guilty and to serve jail time in the United States for participating in a global conspiracy to fix the price of thin-film transistor-liquid crystal display (TFT-LCD) panels, the Department of Justice announced today.

According to a one-count felony charge filed in U.S. District Court in San Francisco, Chen-Lung Kuo conspired with others to suppress and eliminate competition by fixing the prices of TFT-LCD panels. Kuo, a resident of Taiwan and the former vice president of sales of Chi Mei, participated in the conspiracy from as early as April 2004, to on or about Dec.1, 2006.

Under his plea agreement, which is subject to court approval, Kuo has agreed to serve nine months in jail, to pay a $35,000 criminal fine and to assist the department in its ongoing TFT-LCD investigation.

TFT-LCD panels are used in computer monitors and notebooks, televisions, mobile phones and other electronic devices. By the end of the conspiracy period, the worldwide market for TFT-LCD panels was valued at $70 billion. Companies directly affected by the LCD price-fixing conspiracy are some of the largest computer and television manufacturers in the world, including Apple, Dell and Hewlett Packard.

The department charged that Kuo participated in a conspiracy in which the participants met and agreed to charge prices of TFT-LCD panels at certain predetermined levels. The participants in that conspiracy also issued price quotations in accordance with the agreements reached and exchanged information on the sales of TFT-LCD panels for the purpose of monitoring adherence to the agreed-upon prices, the department said.

As a result of this investigation, more than $890 million in criminal fines have been obtained to date.  Including today’s filing, 19 executives and eight companies have been charged in the department’s ongoing investigation into price fixing in the LCD industry.

Huang was accused of participating from September 2001 to December 2006 in a conspiracy to fix the prices of LCD panels, which are used in computer monitors, televisions, mobile phones and other electronic devices.

Taiwan"s biggest LCD monitor maker on Saturday agreed to buy the island"s second largest LCD screen maker in a bid to compete with South Korea"s market leading giants.

Innolux Display will buy Chi Mei Optoelectronics in an all-stock deal whereby Innolux will trade one of its shares for every 2.05 shares of Chi Mei, the companies said.

The companies did not provide a value for the all-share stock deal, but a Taishin Securities analyst said Innolux Display will pay an 18 percent premium per share for Chi Mei Optoelectronics based on Friday"s closing stock price. He said the deal values Chi Mei at around US$5 billion based on the number of shares Chi Mei reported at the end of the third quarter.

The deal is a sign of consolidation in the global LCD screen sector caused by the need to be big to compete. The combined Innolux-Chi Mei will be the world"s fourth largest LCD screen maker and the biggest LCD monitor maker. Executives at a news conference in Taipei on Saturday said they hope the deal will help Taiwan better compete against South Korean powerhouses Samsung Electronics and LG Display, which rank as the biggest and second biggest LCD screen makers, respectively, in the world.

"Our first target will be to become number one in Taiwan," said Terry Gou, chairman of Hon Hai Precision Industry, the largest shareholder of Innolux and the world"s largest contract electronics maker. AU Optronics, the third-largest LCD screen maker in the world, will be the new company"s biggest competitor in Taiwan.

He also indicated that consolidation was necessary to keep Chi Mei Taiwanese, because foreign LCD screen makers might view it as a good buy out target. "Such a beautiful woman [Chi Mei] shouldn"t marry a foreigner," said Gou.

The deal is expected to close May 1, 2010, Innolux said in a statement. Innolux will be renamed Chimei Innolux Corporation. The boards of both companies approved the deal on Saturday, but the transaction still needs shareholder and regulatory approval.

The current CEO of Innolux, H.C. Tuan, will become the president and CEO of Chimei Innolux, while the chairman of Chi Mei Optoelectronics, Frank Liao, will become the chairman of Chimei Innolux.

Chi Mei shares fell NT$0.70 to close at NT$20.80, the lowest level since Nov. 30. The fine could push the panel maker into another quarterly loss this quarter after making its first three-month profit in more than a year last quarter.

“This is a rare case. We originally expected Chi Mei to break-even this quarter on falling prices. Those hopes are now dashed,” said Roger Yu (游智超), a flat-panel industry analyst with Polaris Securities Co (寶來證券).

The fine could bring the panel maker"s losses to about NT$29 billion (US$898 million) for the full year, compared with NT$6 billion in losses last year. Chi Mei accumulated losses of NT$27.41 billion in the first nine months of this year.

“The disclosure aims to end recent speculation [about the price-fixing allegations] and to remove uncertainty [of a massive fine],”company spokesman Eddie Chen (陳彥松) said by telephone yesterday. “Chi Mei is not the first company to be fined. Six of the eight panel makers under investigation have pleaded [guilty to price fixing].”

The companies are Taiwan"s Chunghwa Picture Tubes Ltd (中華映管), South Korea’s LG Display Co, Japan’s Sharp Corp, Hitachi Displays Ltd and Epson Imaging Devices Corp.
